1.SPONSOR:  Sunny Provisions LLC, 715-B N Douglas St, Suite 715-B, El Segundo, CA 90245 (“Sponsor”).

2.ELIGIBILITY: The Sunny Provisions LLC 'Ultimate Outdoor Adventure/Erin Outdoors' Giveaway (the “Promotion”) is open only to legal residents of the 50 United States and District of Columbia, who are 18 years of age (or at least 19 in AL and NE) or older at the time of entry (each, an “Entrant”).  Void outside of the 50 United States and the District of Columbia and where prohibited, taxed or restricted by law. Employees, officers   and   directors   (and   their immediate   families   and   members   of   their households, whether or not related) of Sponsor and its respective subsidiaries, affiliates, partners, advertising   and   promotion   agencies, manufacturers or distributors of Promotion materials (collectively, the “Promotion   Parties''). Participation constitutes Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to this Promotion.  Winning a Prize (as defined below) is contingent upon fulfilling all requirements set forth herein and is subject to compliance with all applicable federal, state and local laws and regulations.

3.TIMING: The Promotion begins on Thursday, February 8th at 12AM Eastern Time (“EST”) and ends on Thursday, February 22nd at 12AM EST (the “Promotion Period”). The Winner will be announced via IG DM. Sponsor’s designated clock is the official clock of the Promotion.

4.TO ENTER: Internet access and a valid e-mail address are required to participate. During the Promotion Period, an eligible entrant must enter the information requested on the registration form, which may include without limitation: his/her first and last name (initials are not permitted), ZIP Code, date of birth, telephone number and affirmation he/she has read and agrees to be bound by the Official Rules. 

Sponsor is not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible or garbled entries, which will be disqualified, in Sponsor’s sole discretion. 

Entry Limit: During the Promotion Period and upon completion of entry, an entrant will automatically receive one (1) Sweepstakes entry into the Sweepstakes. Limit: Each entrant is limited to receiving one (1) Sweepstakes entry per day during the Promotion Period. If more than one (1) Sweepstakes entry per day is received from the same person, telephone number, address, or e-mail address, only the first Sweepstakes entry received may be considered valid. All Sweepstakes entries must be received by 11:59:59 PM EST on February 22nd, 2024.

In the event that a household, based on address, enters the Promotion using more than five (5) unique e-mail addresses, all of the Sweepstakes entries associated with that household (determined by Sponsor or Administrator at their sole discretion) will be disqualified.

Any entries that contain material that is determined by Sponsor to be inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous, libelous, racially or religiously biased or offensive will be disqualified.

1. PRIZES, APPROXIMATE RETAIL VALUE (“ARV”), AND ODDS OF WINNING:

GAME PRIZE (1): The following prizes will be available in the Promotion (each, a “Game Prize”), with one (1) prize awarded per winner: One (1) Game Prize winners will receive a $250 REI Gift Cards each as well as one (1) case of Sunny Provisions Variety Pack. The ARV of the one (1) Game Prize is $279.99.

In the case of unavailability of any Prize, Sponsor reserves the right to substitute a Prize of equal or greater value. All federal, state and local taxes are the sole responsibility of the winner(s).

1. GENERAL: All prizes will be mailed to the winners. In no event will more prizes than are stated in these Official Rules be awarded. If, for any reason, more prize notifications are sent (or more claims are received) than the number of prizes offered, as set forth in these Official Rules, Sponsor reserves the right to award the intended number of prizes through a random drawing from among all eligible prize claims received. Limit of one (1) Game Prize per person/household. A person/household may not win both a Game Prize and the Sweepstakes Prize. No prize substitution or exchange will be allowed, except by Sponsor, who reserves the right to substitute a prize of equal or greater value in case of unavailability of a prize or force majeure.

6.SELECTION/ODDS:   Winners will be selected in a random drawing from all eligible entries received during the Promotion Period.  Odds of winning depend on the number of eligible entries received during the Promotion Period.  Sponsor or its designee will conduct the random drawing. POTENTIAL   WINNERS   ARE   SUBJECT   TO   VERIFICATION   BY   THE   SPONSOR   AND MUST   MEET   ALL   ELIGIBILITY   REQUIREMENTS   BEFORE   AN   ENTRANT   WILL   BE CONFIRMED AS A WINNER AND PRIZE(S) AWARDED.

7.NOTIFICATION:  The potential winner will be notified by E-mail to the E-mail address the potential winner used to submit the entry, and must respond to Sponsor within 48 hours of attempted notice and with a valid PayPal or Venmo account, or the potential winner will forfeit the Prize and another winner will be selected.  Except where prohibited, the potential winner may be required to sign and return an Affidavit of Eligibility and a Liability and Publicity Release within a time period designated by Sponsor (“Release”).  If a potential winner cannot be contacted, fails to respond to Sponsor within the required time period, fails to execute and return the Release within the required time period, or does not comply with these Official Rules, such potential winner forfeits the Prize, and an alternate winner will be selected from all remaining eligible entries, at Sponsor’s sole discretion. Upon Prize forfeiture, no compensation will be given. 

8.ENTRY:  Except where prohibited, entry in the Promotion constitutes each Entrant’s permission for Sponsor to use his/her entry for advertising and promotional purposes throughout the world in any media now known or hereafter developed, without notice or compensation.

9.PUBLICITY:  Except where prohibited, acceptance of the Prize constitutes winner’s permission for Sponsor to use his/her name, address (city and state), likeness, image, photograph, voice, performance,   signature,   biographical   information   and/or   any   statements   made   by   winner regarding the Promotion or Sponsor for advertising and promotion purposes throughout the world in any media now known or hereafter developed, without notice or additional compensation. 

10.RELEASE: By participating in the Promotion, Entrants and winner agree to release and hold harmless the Promotion Parties from any and all liability for loss, harm, damage, injury, cost or expense whatsoever, including without limitation, property damage, personal injury and/or death, which may occur in connection with, preparation for, travel to or participation in the Promotion, or possession, acceptance and/or use or misuse of any Prize or participation in any Promotion-related activity and for any claims based on publicity rights, defamation or invasion of privacy and merchandise delivery.  Sponsor is not responsible if the Promotion cannot take place or if the Prize cannot be awarded due to delays or interruptions as a result of acts of God, acts of war, natural disasters, weather or acts of terrorism.  Entrants who do not comply with these Official Rules or attempt to interfere with this Promotion in any way shall be disqualified.

11.ADDITIONAL TERMS:  For online entries, in case of dispute as to the identity of any Entrant, entry will be declared made by the authorized account holder of the email address submitted at the time of entry. “Authorized Account Holder” is defined   as   the   natural   person   who   is assigned an email address or user name by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) responsible for assigning email addresses or the domain associated with the submitted email address.  Any potential winner may be requested to provide Sponsor with proof that such winner is the authorized account holder of the   email   address   associated  with  the   winning  entry.     Any   other   attempted   form   of   entry   is prohibited; no automatic, programmed. robotic or similar means of entry are permitted.   The Promotion   Parties   are   not   responsible   for   technical,   hardware,   software,   telephone   or   other communication   malfunctions,   which   may   limit   their   ability   to   contact   the   potential   winner. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend the Promotion should (in its sole discretion) viruses, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Promotion.  In such a case, Sponsor may select the winner from all eligible entries received prior to the occurrence of the interfering event.  Sponsor reserves the right, in its sole discretion, to disqualify any Entrant it finds to be tampering with the entry process or the operation of the Promotion.  Sponsor may prohibit an Entrant from participating in the Promotion Of   winning   a   Prize   if,   in   Sponsor’s   sole   discretion,   Sponsor   determines   that   said   Entrant   is attempting to undermine the legitimate operation of the Promotion. Entrants   agree   that   any   personal   information may be processed, shared and otherwise used for the purposes and within the context of the Promotion and any other purposes outlined in these Official Rules or Sponsor’s privacy policy. Such personal information may also be used by Sponsor in order to verify any Entrant’s identity, postal address and telephone number or to otherwise verify any Entrant’s eligibility to participate in the Promotion. Without limiting the generality of the foregoing, Entrants agree that Sponsor may send Entrants various promotional materials, including but not limited to marketing and promotional emails regarding Sponsor’s and its affiliates products and services.

14.DISPUTE; GOVERNING LAW:  Entrants and Promotion Parties waive all rights to trial in any action   or   proceeding   instituted   in   connection   with   these   Official   Rules,   including,   without limitation, the Promotion.  Any controversy or claim arising out of or relating to these Official Rules   and/or   the   Promotion   shall   be   resolved   by   binding   arbitration   in   accordance   with   the commercial arbitration rules of the American Arbitration Association.  Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party.  The arbitration shall be conducted in the State of Wisconsin.   These Official Rules and the interpretation thereof shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflicts of law rules.  For any matters that are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with   these   Official   Rules   and/or   the   Promotion,   Entrants   and   Promotion   Parties   irrevocably submit and consent to the exclusive jurisdiction and venue of the federal and state courts located in New York, New York.
